Tata Motors Limited (“Company”) today announced that it has priced the issue of Foreign Currency Convertible Notes (“Notes”) aggregating to JPY 11.76 Billion (“Issue”). The Notes are expected to be listed on the Singapore Stock Exchange. The Notes are convertible into either ordinary shares of the Company or American Depository Shares representing ordinary shares of the Company, at the option of the Note holders. The Notes will be convertible at a conversion price of Rs.1001.39 per share, which is at a premium of 30% to the Company’s closing share price on the Bombay Stock Exchange Limited as on February 15, 2006. The Notes are zero coupon and will be redeemable at a discount of 0.15% after the expiry of a period of 5 years. The Company has an option to redeem the Notes after three years, subject to receipt of relevant approvals.
The Issue was launched before market trading hours on February 16, 2006. Citigroup acted as the sole bookrunner to the Issue.
